Bond Counsel for municipalities and state/local agencies issuing tax exempt debt — including conduit financing, refunding and cash flow financing. Representative clients include the Town of Bristol RI, Town of Little Compton, RI, the Bristol County Water Authority, the Bristol Warren Regional School District, the Rhode Island Airport Corporation, the Rhode Island Commerce Corporation, Rhode Island Facilities Financial Corporation, Coventry Fire District, and the Providence Redevelopment Agency.

Borrowers Counsel in conduit financing for healthcare organizations, assisted living facilities, nursing homes, charter schools and health centers and community organizations. Representative clients in recent tax exempt financings include Saint Elizabeth Community and its affiliates, Steere House, Scandinavian Home, Ocean State Assisted Living, TAPA Charter School, St. Charles Academy, Kent Center/Thrive Behavioral Center, Prudence Island Water District and GroundWorks Rhode Island.

Underwriters Counsel for transactions involving new and refunding issues; competitive and negotiated transactions, etc.

Bank Counsel for financial institutions issuing direct loans or issuances of letters of credit as credit enhancement in all types of financing — including private sales and the establishment of escrow accounts.

Corporate Trustee or Escrow Agent Counsel for all types of taxable and tax exempt debt. Sandra has also been on the forefront of the drafting and implementation of trusts for use in “other post-employment benefits” — so-called OPEB Trusts — and creative uses of life insurance to fund the Trusts.
